Integrity is not new to Marathon Oil. Our commitment to do business honestly and fairly began long ago and continues today. Integrity helps us compete successfully in everything we do and is critical to maintaining our license to operate.
Our Code of Business Conduct reinforces our long-standing commitment to high ethical standards and summarizes the fundamental importance of acting with integrity. It’s important that our employees, stakeholders and business partners understand our position regarding ethical business conduct.
While all our employees, officers, directors and other parties acting within the scope of representing Marathon Oil are responsible for adhering to our high ethical standards and acting with integrity, Marathon Oil's Corporate Compliance & Ethics organization is responsible for directing the corporate compliance and ethics program. This includes policy development and coordinating with relevant organizations to ensure compliance, providing training and guidance, and leading Marathon Oil’s response to inquiries or reports submitted to the Integrity Helpline.

Our Code of Business Conduct
Marathon Oil’s Code of Business Conduct lays the foundation for good business decisions. To further guide decision-making, we also have adopted policies for specific issues mentioned in the Code. Integrity Helpline
Our Integrity Helpline is one of several available options to raise questions about ethical business conduct or report suspected illegal or unethical activity as it pertains to Marathon Oil. Submitters using either Integrity Helpline contact option may choose to remain anonymous.

It starts with prompt reporting.
Our employees are required to promptly report any identified actual or potential Code of Business Conduct violations to any of the resources listed in the Code of Business Conduct. As noted in our Code of Business Conduct and Policy for Reporting Business Ethics Concerns, we will not tolerate retaliation for good faith reporting of actual or potential Code of Business Conduct violations.
We maintain several options to raise questions or report an ethical concern, including:
- Direct management or other members of our reporting chain
- The Marathon Oil organization referenced in each section of the Code of Business Conduct
- Marathon Oil’s Corporate Compliance & Ethics organization
- Marathon Oil’s Integrity Helpline.
Whether contacting the Integrity Helpline via email or phone, employees always have the option to remain anonymous. While submissions to the Integrity Helpline are routed to our Corporate Compliance & Ethics organization for review and action as necessary, both Integrity Helpline contact options are maintained by a third party to protect anonymity if requested by the submitter.

Meals, Gifts and Entertainment
Our Requirements
We've adopted specific requirements to help employees decide whether meals, gifts and entertainment offered by third parties that conduct or seek to conduct business with Marathon Oil may be accepted. Regardless of value or frequency, employees are prohibited from accepting any item of value from third parties:
- If doing so will obligate, appear to obligate or is intended to the recipient
- If doing so will influence, appear to influence or is intended to influence the recipient or impact any business decision made on behalf of Marathon Oil
- Consists of cash or cash equivalents
- Consists of items that are unlawful, lewd or offensive in nature
